Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MajestIQ LLC ("Company," "we," "us," or "our"), governing your access to and use of www.majestiq.io (the "Site"), an Amazon seller services platform providing account health management, compliance and enforcement defense, creative services, and strategic consulting for Amazon sellers and brands, and any related products or services (collectively, the "Services").

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Site immediately.

The Company reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit any advertising or promotional material without our prior written consent, including "junk mail," "chain letters," "spam," or similar solicitation
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site

Electronic Communications

When you visit the Site, send us emails, or fill out forms on the Site, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Payments and Billing

Services are offered at prices listed on the Site or as quoted during consultation. Prices are subject to change without notice. All prices are in United States Dollars (USD) unless otherwise stated.

Payments are processed securely through Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service in addition to these Terms.

All sales of completed services are final. The Company does not offer refunds for services that have been fully delivered. If a service cannot be delivered as described, the Company will work with the client to resolve the matter or issue a credit toward future services at the Company's discretion.

For subscription-based services (such as Account Health Management), billing occurs on a recurring monthly basis. Clients may cancel recurring services by contacting support@majestiq.io with at least 14 days notice before the next billing cycle.

Service Disclaimer

The Company provides Amazon seller account services including but not limited to account health monitoring, policy violation resolution, suspension appeals, and strategic consulting. These services are advisory and operational in nature.

The Company does not guarantee specific outcomes including but not limited to account reinstatement, violation removal, or any particular response from Amazon. Amazon's decisions are made at Amazon's sole discretion, and the Company has no control over Amazon's internal processes or policies.

The Company is not a law firm and does not provide legal advice. Services should not be construed as legal counsel. Clients requiring legal advice should consult a licensed attorney.

Clients are responsible for maintaining the accuracy of information provided to the Company. The quality and outcome of services depend in part on the completeness and accuracy of information provided by the client.

Account Access and Authorization

Certain services may require the client to grant the Company temporary access to their Amazon Seller Central account or provide account data. By engaging services, the client authorizes this access for the sole purpose of delivering the requested services.

The Company will access client accounts only to the extent necessary to perform the agreed-upon services and will not make changes outside the scope of the engagement without client approval.

Clients may revoke access at any time by contacting the Company, with the understanding that revocation may affect the Company's ability to deliver services.

Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by MajestIQ LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site, except as incidental to normal web browsing.

The Company name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of MajestIQ LLC. You must not use such marks without the prior written permission of the Company.

User Representations

By using the Site, you represent and warrant that:

• You have the legal capacity and agree to comply with these Terms
• You are at least 18 years of age
• You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise
• You will not use the Site for any illegal or unauthorized purpose
• Your use of the Site will not violate any applicable law or regulation
• All information you provide is true, accurate, current, and complete

Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those specifically endorsed or approved by us. Prohibited activities include but are not limited to:

• Systematically retrieving data or content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory
• Making any unauthorized use of the Site, including collecting usernames or email addresses of users to send unsolicited email
• Using a buying agent or purchasing agent to make purchases on the Site
• Circumventing, disabling, or otherwise interfering with security-related features of the Site
• Engaging in unauthorized framing of or linking to the Site
• Tricking, defrauding, or misleading us or other users, especially in any attempt to learn sensitive account information
• Interfering with, disrupting, or creating an undue burden on the Site or the networks or services connected to the Site
• Using any information obtained from the Site to harass, abuse, or harm another person
• Uploading or transmitting viruses, Trojan horses, or other material that interferes with any party's use and enjoyment of the Site

Limitation of Liability

IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Site or Services
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content
• Any actions taken or not taken by Amazon in response to services provided by the Company

The Company's total liability to you for all claims arising out of or relating to the use of the Site or Services shall not exceed the amount paid by you to the Company during the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless MajestIQ LLC and its subsidiaries, affiliates, officers, agents, partners, and employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Site
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the Site caused damage to a third party

Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE OR SERVICES.

THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

The arbitration shall be conducted in White Plains, New York, unless the parties agree otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Westchester County, New York, and you consent to the personal jurisdiction of such courts.

Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

International Users

The Site is controlled and operated from the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. The Site is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.

Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and MajestIQ LLC regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
